SSM Fees: Companies, Businesses and LLPs

Every SSM fee that matters, taken from the Companies Regulations 2017 schedule, the LLP Regulations 2012 schedule and SSM's business registration guidelines — with the late-lodgement penalty bands.

SSM charges RM1,000 to incorporate a company limited by shares, RM50 per thirty days to reserve a name up to 180 days, RM150 for a private company annual return and RM50 for audited financial statements. A business registration is RM30 a year on a personal name and RM60 on a trade name. An LLP costs RM500 to register and RM200 a year for the annual declaration.

Three separate fee schedules, three separate statutes, and no single page on SSM’s site that puts them side by side. Company fees come from the Companies Regulations 2017; LLP fees from the LLP Regulations 2012; business registration fees from SSM’s own guidelines under the Registration of Businesses Act 1956.

All figures below are the prescribed amounts. Late-lodgement penalties and service provider charges sit on top.

Businesses — Registration of Businesses Act 1956

These are annual rates. You select a registration period of one to five years and pay the rate for each year.

Renewal is charged at the same rates. Registration runs for a period not exceeding five years (s.5(3) of ROBA 1956), and renewal likewise not exceeding five years at each renewal (s.5A(2)).

These fees apply in Peninsular Malaysia and the Federal Territory of Labuan only. Section 1(2) of ROBA 1956 confines the Act to Peninsular Malaysia. Sabah and Sarawak run separate regimes with separate fees.

Late lodgement penalties

Practice Directive 1/2017, revised 1 October 2024, paragraph 17. The bands begin after seven days of default and rise with the length of the delay:

Paragraph 18 gives the Registrar a remission power. There is no published late-lodgement scale for beneficial ownership filings — do not assume one exists.

Processing times SSM actually publishes

  • Business registration certificate — within one hour of the payment transaction for a new registration, and within fifteen minutes for a renewal, which is auto-approved when done through EzBiz.
  • Foreign company — notice of registration within one working day of a compliant submission.
  • Certificates and business info — downloadable for 90 days from the approval date through the SSM4U portal. After that you pay again.

SSM does not publish an equivalent service standard for company incorporation or for LLP registration.

Common mistakes

  • Treating the RM1,000 incorporation fee as the cost of starting a company. It is one line. The first year also carries a company secretary, a registered office and the annual return.
  • Quoting the ROB fees as one-off. RM30 and RM60 are per year of the registration period selected.
  • Assuming a name reservation can be renewed indefinitely. The cap is 180 days.
  • Paying RM50 to reserve a name you intend to use immediately. Direct incorporation folds the name check into the RM1,000 application.
  • Budgeting a branch registration at the RM1,000 rate. A foreign company branch starts at RM5,000 and reaches RM70,000, and RM70,000 is also the flat rate where there is no share capital.
  • Missing that unaudited financial statements are cheaper to lodge. RM20 against RM50 — small, but it is a real consequence of qualifying for audit exemption.

What’s next

Price the recurring line, not the formation line. For a private company that is RM150 plus RM50 a year before anyone’s professional fee; for an LLP, RM200; for an enterprise, RM30 or RM60. Then check whether your entity is in Sabah or Sarawak, because none of the ROB figures on this page apply there.
